A counterparty is a legal entity with whom you enter into a contract. For example, your customers, vendors, or partners.
A well-drafted contract aims to explain, in explicit detail, the rights and obligations of your organization and the counterparty in every conceivable circumstance.
In a typical contract workflow, you negotiate with a counterparty for agreement on the terms and conditions. The contract becomes effective only if authorized representatives from your organization and the counterparty sign the contract document.
