Counterparty Reviewing a Contract Sent for Negotiation

Access a Contract Sent for Negotiation

When a contract owner sends the contract for negotiation, the negotiators will receive an email with a password protected link to access the contract document. 


As a negotiator, to access a contract sent for negotiation:

  1. Open the contract review request email from Zoho Contracts. 
  2. Click Review Contract in the email. 
  3. Enter the password to access the document. 

NotesNoteA negotiator does not need a Zoho Account to view, add comments, or suggest edits to the contract document. 

Request to Add Reviewers

  1. Open the contract review request email from Zoho Contracts.  
  2. Click Review Contract in the email.
  3. Enter the password to access the document. 
  4. Click Request to Add Reviewers at the top-right corner of the page.
  5. Enter the reviewer's details in the respective fields, then set their permission.
  6. Click Add More at the bottom of the Reviewers list to add more reviewers.
  7. Click Send
Upon clicking Send, the contract owner will receive an email notification from which they can add the requested negotiators. 

Suggest Edits to a Contract Document

  1. Open the contract review request email from Zoho Contracts.  
  2. Click Review Contract in the email.
  3. Enter the password to access the document. 
  4. Edit the document to suggest changes. 

NotesNoteChanges made to the document are displayed as redlining. This is for the sender to track the changes that the negotiators make to the document.   

Add Comments to a Contract Document

  1. Open the contract review request email from Zoho Contracts.
  2. Click Review Contract in the email.
  3. Enter the password to access the document. 
  4. Select the text you want to add a comment to, then click Add Comment  on the toolbar at the top of the document editor.
  5. Enter the comment in the window that opens up on the right panel, then change the comment visibility from the dropdown menu if needed, and then click Add. By default, My Organization Members is set in the comment visibility dropdown menu.

Note:
    • When My Organization Members is set in the comment visibility dropdown menu, the comment will be visible to the other members in your organization with Edit or Comment permission.
    • If you choose Everyone in the comment visibility dropdown menu, the comment will be visible to the other members in your organization and to all the members in the sender's organization who have access to the document with Edit or Comment permission.
    • If you choose Contract Owner Only in the comment visibility dropdown menu, the comment will be visible only to the user who sent the contract for negotiation.

Tip: You can also add a comment from the right-click menu. To do so, select the text you want to add a comment to, then choose Add Comment  from the right-click menu. Only members with Edit permission can add comments from the smart toolbar. 

Finish Review

  1. Open the contract review request email from Zoho Contracts.
  2. Click Review Contract in the email. 
  3. Enter the password to access the document. 
  4. Click Finish Review at the top.
  5. Check the Proceed for Signing checkbox if you agree to sign the document. 

NotesNoteOnly the counterparty primary contact of the contract can finish the review after the negotiation.

Download a Contract Document  

  1. Open the contract review request email from Zoho Contracts.
  2. Click Review Contract in the email.
  3. Enter the password to access the document.
  4. Click More  at the top-right corner of the document editor.
  5. Choose Download,  then select the Download Format.

Compare Changes  

When a contract goes through multiple rounds of negotiation, the negotiators can compare the current version of the contract document with the versions in the past review cycles. The changes will be automatically highlighted.
 
To compare changes:
  1. Open the contract review request email from Zoho Contracts.
  2. Click Review Contract in the email.
  3. Enter the password to access the document.
  4. Click Compare Changes at the top.
  5. Choose the past review cycle that you want to compare with the current version from the Past Review field, then click Compare. 

           

 

The comparison page will display the contract document highlighting the differences between the two versions. Each member is assigned a unique color to identify the member who made the edit, and the changes are displayed in the respective colors. You can navigate these changes by clicking the Previous and Next arrows available at the page's top-right corner.     
Notes
NoteIf the contract is currently in the post-execution stages, you can compare the current document version with previously executed versions. Suppose the contract is sent for negotiation for the 3rd amendment. In that case, you can compare the current document version with the original document that was executed in addition to the document versions in the past review cycles of the current amendment.
     

View Negotiation History   

When a contract goes through multiple rounds of negotiation, the negotiators can view the contract document version from any past review cycle.
  1. Open the contract review request email from Zoho Contracts.
  2. Click Review Contract in the email.
  3. Enter the password to access the document.
  4. Click More  at the top-right corner of the document editor.
  5. Choose Negotiation History, and then select the review cycle.
