Managing Counterparty Initiated Contracts

Re-upload Draft Document

  1. Select the Contracts tab at the top of the page.
  2. Click to open the contract in the In Negotiation - Review Pending state that you want to re-upload the draft document.
  3. Click More  at the top-right corner of the contract details page, then click Re-upload Document, and upload the Draft Contract that you have received from the counterparty.
  4. Click Upload.

Note:
  1. You can upload the document in .doc, .docx, or .rtf formats. 
  2. The maximum file size allowed is 10 MB.

Edit Contract Information

  1. Select the Contracts tab at the top of the page. 
  2. Click to open the contract you want to edit the fields in.
  3. Select the Summary tab from the contract details panel on the left. 
  4. Click Edit at the top-right corner of the Summary tab. 
  5. Change the values in the Edit Contract Details form, then click Update

Note:
  1. All fields are editable when a contract is in the Draft state. 
  2. A few fields are always editable, irrespective of the state of the contract. They are Description, Requester Name, Requester Department, Termination Notice Period, Send Expiration Reminder, Amount Type, Amount, and Tax.
  3. Only the contract owner can edit the fields. For more information about permissions, see Sharing and Collaboration.

Adding and Managing Attachments

Adding and managing attachments in a counterparty-initiated contract is similar to adding and managing attachments in an organization-initiated contract. For a step-by-step guide, see Attachments.

View Contract Revisions

The Revisions tab in Zoho Contracts helps manage and track various versions of a contract by providing a complete history of all contract versions, allowing you to filter versions and download any version with ease.

View the Versions of a Contract

  1. Select the Contracts tab at the top of the page. 
  2. Click to open the contract you want to view the versions of. 
  3. Click More  in the contract details panel on the left, then choose Revisions. All the versions of the contract will be displayed in the Revisions tab. 
  4. Click the version that you want to view. 
The version will be displayed in the document viewer. 

            

Apply Filters to Versions

  1. Select the Contracts tab at the top of the page. 
  2. Click to open the contract you want to filter and view the versions of. 
  3. Click More  in the contract details panel on the left, then choose Revisions.
  4. Click Filter By and specify the necessary filter criteria.

Download a Version

  1. Select the Contracts tab at the top of the page. 
  2. Click to open the contract you want to download a version of. 
  3. Click More  in the contract details panel on the left, then choose Revisions.
  4. Click More  next to the version that you want to download, then choose the download file format from the Download As section.

Viewing Agreement History

Viewing Agreement History in a counterparty-initiated contract is similar to viewing agreement history in an organization-initiated contract. For a step-by-step guide, see Viewing Agreement History.

Download a Contract 

  1. Select the Contracts tab at the top of the page. 
  2. Click to open the contract that you want to download.
  3. Click More  at the top-right corner of the contract details page, then choose Download Document.
  4. Select the Download Format and Download Option, then click Download.

Copy a Contract

  1. Select the Contracts tab at the top of the page. 
  2. Click to open the contract that you want to copy.
  3. Click More  at the top-right corner of the contract details page, then choose Create a Copy.
  4. The Create a Copy form will appear with the fields filled with values of the contract that you chose to copy. Change the values based on your requirements.
  5. You can also copy the document field values, comments, collaborators, and signer details from the contract. To copy, click Choose from the Copy Options section in the Create a Copy form and select the required values.  
  6. Click Save and Continue.

Note: 
  1. When creating a copy of a signed contract, you will be prompted to upload the draft document in the next step. Once uploaded, click Upload and Continue to proceed.
  2. You can upload the document in .doc, .docx, or .rtf formats. 
  3. The maximum file size allowed is 10 MB.

Delete Contract

  1. Select the Contracts tab at the top of the page. 
  2. Click More  next to the contract that you want to delete, then choose Delete Contract.
NotesNote: You cannot delete a contract document when the contract is in either Signed or Active state.
QuoteTip: You can also delete a contract from the contract details page. To do so, click More  at the top-right corner of the contract details page, then choose Delete Contract.
