- Select the Contracts tab at the top of the page.
- Click to open the contract in the In Negotiation - Review Pending state that you want to suggest edits and add comments to.
- Edit the document to suggest changes, select the text you want to add a comment to, then click Add Comment
on the toolbar at the top of the document editor. - Enter the comment in the window that opens up on the right panel, then click Add.
- Click Finish Review at the top.
Note: Track changes is enabled by default, and any changes made to the document are displayed as redlining. This allows the counterparty to track all changes made to the document.
Tip: You can also add a comment from the right-click menu. To do so, select the text you want to add a comment to, then choose Add Comment
from the right-click menu. Only members with Edit permission can add comments from the smart toolbar.
Send Reviewed Contract to Counterparty
- Select the Contracts tab at the top of the page.
- Click to open the contract in the In Negotiation - Review Completed state that you want to send.
- Click Send Reviewed Contract at the top. The Send Reviewed Contract dialog box will appear, with the email address of the counterparty's primary contact populated in the To field and the reviewed contract document attached.
- Check the Add Cc checkbox to copy other people in the email.
- Enter the Message of the email, then check the Include review summary in the email checkbox to show the number of changes and comments in the email.
- Click Send.

Notes:
- If the counterparty’s primary contact has not been added yet, the contract owner must select a recipient in the To email field while sending the reviewed contract. The selected recipient will automatically be set as the counterparty’s primary contact.
- You can attach up to 5 files when sending a reviewed contract, and their combined size must not exceed 15 MB.
- Proceed for Signature option is available only when there are no comments or changes in the contract document.
- Include Review Summary option is available only when the contract contains comments or changes.
Re-review Contract
- Select the Contracts tab at the top of the page.
- Click to open the contract in the In Negotiation - Review Sent state that you want to re-review.
- Click More
at the top right corner, then select Re-review Contract. It will move the contract to In Negotiation - Review Pending state. - Re-review the contract by suggesting edits and adding comments. For more information, see Suggest Edits and Add Comments.
- Send the reviewed contract again to the counterparty. For a step-by-step guide, see Send Reviewed Contract to Counterparty.
Upload New Version
After receiving the revised document from the counterparty, you can upload it as a new version of the contract. To do so,
- Select the Contracts tab at the top of the page.
- Click to open the contract in the In Negotiation - Review Sent state in which you want to upload a new version.
- Click Upload New Version at the top. It will open an Upload New Version dialog box.
- Drag and drop the received contract document in the Upload New Version dialog box or click inside the section to browse, select the file from your computer to upload, then select the Received Date and Time using the
icon. - Click Upload. It will move the contract to In Negotiation - Review Pending state.
- You can review the contract again by suggesting edits and adding comments. For more information, see Suggest Edits and Add Comments.
- Send the reviewed contract again to the counterparty. For a step-by-step guide, see Send Reviewed Contract to Counterparty.

Note:
- You can upload the document in .doc, .docx, or .rtf formats.
- The maximum file size allowed is 10 MB.
Compare Changes
When a contract goes through multiple rounds of negotiation, the contract owner can compare the contract document version from any past review cycle.
Select the Contracts tab at the top of the page.
- Click to open the contract in the In Negotiation - Review Sent state that you want to compare changes.
- Click
at the top right corner, then select Compare Changes. - Choose the compare version that you want to compare with the current version from the Compare Version field, then click Compare.
The comparison page will display the contract document highlighting the differences between the two versions. Each member is assigned a unique color to identify the member who made the edit, and the changes are displayed in the respective colors. You can navigate these changes by clicking the Previous and Next arrows available at the page's top-right corner.
View Negotiation History
- Select the Contracts tab at the top of the page.
- Click to open the contract in the In Negotiation - Review Sent state that you want to view negotiation history.
- Click
at the top right corner, then select Negotiation History. - Select the review cycle in the Negotiation History dialog box.
Mark As Negotiated
- Select the Contracts tab at the top of the page.
- Click to open the contract in the In Negotiation - Review Sent state that you want to mark as negotiated.
- Click Mark As Negotiated at the top.
The contract will be marked as negotiated.
View Negotiation Activity
When a contract undergoes multiple rounds of negotiation, the contract owner can view the Activity, Review Summary, and contract document version of the previous negotiation cycles.
- Select the Contracts tab at the top of the page.
- Click to open the contract whose negotiation cycles you want to view.
- Select the Negotiations tab in the contract details panel on the left.
- The left panel will display the activity of all the previous negotiation cycles below the Activity section.
- Click View Document next to a cycle to view the contract document version that you received after the counterparty review for the respective cycle.
- Click View under Review Summary to view the counterparty's review summary for the respective cycle.
